By accessing or using any part of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

HelaNexus provides custom software development, consulting, cloud solutions, and related technology services. Our services include but are not limited to:

• Custom software application development
• Web and mobile application design and development
• Cloud infrastructure and DevOps consulting
• Technical consulting and architecture design
• Software maintenance and support
• UI/UX design services

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

Certain features of our services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

Unless otherwise agreed in a separate written agreement, the following intellectual property provisions apply:

• Our IP: All content, features, and functionality of our website and services (including but not limited to text, graphics, logos, and software) are owned by HelaNexus and are protected by international copyright, trademark, and other intellectual property laws.
• Client Work: Ownership of custom work product developed for clients is governed by the terms set forth in the applicable Statement of Work or service agreement.
• Pre-Existing IP: Each party retains ownership of its pre-existing intellectual property. Any pre-existing tools, frameworks, or libraries used in delivering services remain the property of their respective owners.

Payment terms for our services are defined in the applicable Statement of Work or service agreement. Unless otherwise specified:

• Invoices are due within thirty (30) days of receipt
• Late payments may be subject to interest at the rate of 1.5% per month
• All fees are exclusive of applicable taxes
• We reserve the right to suspend services for overdue accounts

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law.

To the maximum extent permitted by applicable law, HelaNexus and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of our services.

Our total aggregate liability for all claims arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to HelaNexus during the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless HelaNexus and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of our services or your violation of these Terms.

Either party may terminate the service relationship as specified in the applicable service agreement. We may also suspend or terminate your access to our services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

These Terms shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our website with a revised "Last Updated" date. Your continued use of our services after any changes constitutes acceptance of the new Terms.
